Introduction and Service Overview

1. These Terms and Conditions govern your use of the Health Adam platform, including its website, applications, and related digital services, including telemedicine consultations, laboratory testing, health subscriptions, medication coordination services, and other digital healthcare services provided through the platform.
2. Health Adam is operated by Zal Al Baas Limited Liability Company, Commercial Registration No. 4030371354, issued in Jeddah, Kingdom of Saudi Arabia, referred to in these Terms as the “Company,” “Adam,” “we,” “us,” or “our.”
3. Adam provides an integrated digital and operational healthcare platform that enables users to access healthcare services, manage appointments, receive medical consultations, access laboratory testing services, manage health subscriptions, and use related services through the platform.
4. By using the platform, creating an account, booking a service, or completing a payment, you acknowledge that you have read, understood, and agreed to these Terms.
5. Adam may update or amend these Terms from time to time for operational, regulatory, or service-related reasons. The updated version will become effective once published on the platform.

Definitions

For the purposes of these Terms, the following terms have the meanings set out below unless the context requires otherwise:

• “Platform” means the Health Adam platform, including its website, applications, and all related digital services.
• “Company,” “Adam,” “we,” “us,” or “our” means Zal Al Baas Limited Liability Company, the owner and operator of the platform.
• “User” means any person who uses the platform, creates an account, or requests any service through the platform.
• “Healthcare Provider” means any licensed physician, healthcare practitioner, healthcare facility, laboratory, pharmacy, or other licensed healthcare entity that provides healthcare services through or in connection with the platform in accordance with the laws and regulations of the Kingdom of Saudi Arabia.
• “Consultation” means any medical or healthcare consultation provided remotely through the communication channels approved by the platform.
• “Subscription” means any paid recurring package or service offered through the platform.
• “Adam Clinics” means the telemedicine and healthcare consultation services provided through the platform by licensed Healthcare Providers.
• “Adam Labs” means laboratory testing, health indicators, biomarker, and preventive health subscription services provided through the platform.
• “Services” means all services, features, tools, products, and benefits made available through the platform.
• “Health Data” means any information, results, records, or data relating to a user's health condition, laboratory results, medical history, consultations, or healthcare services.
• “Third Parties” means any service providers or partners engaged by Adam to support or perform part of the Services, including laboratories, pharmacies, logistics providers, payment service providers, and technology or operational service providers.

Scope of Services

Adam provides integrated digital and operational healthcare services through the platform, including medical consultations, laboratory testing, health subscriptions, and related services.

Adam Clinics

Adam Clinics allows users to book and receive remote medical and healthcare consultations from licensed Healthcare Providers in the Kingdom of Saudi Arabia.
Depending on the service, Adam Clinics may include:

• remote medical consultations;
• health follow-up services;
• assessment of health conditions;
• issuance of prescriptions where medically appropriate and legally permitted;
• coordination of medication dispensing and delivery, where available, through licensed pharmacies and approved service partners.

Medical decisions, diagnosis, treatment recommendations, prescriptions, and health assessments remain the independent responsibility of the licensed Healthcare Provider.

Adam Labs

1. Adam Labs provides laboratory testing, health indicators, biomarker tracking, and preventive health subscription services through licensed and approved laboratories and service partners.
2. Adam Labs may include:
   • laboratory testing services;
   • home sample collection services;
   • recurring preventive health subscriptions;
   • access to laboratory results and digital health reports through the platform;
   • health insights or reports related to biomarkers and laboratory results;
   • the option to book a consultation with a Healthcare Provider to review results, where available.

Operational and Technical Services

1. Adam manages the technical and operational aspects of the Services provided through the platform, including appointment management, subscriptions, operational communications, and coordination with Healthcare Providers and service partners.
2. Certain Services, or parts of the Services, may be performed by licensed Third Parties or approved service providers, including laboratories, pharmacies, logistics providers, payment service providers, and technology or operational vendors.

Account Creation and Eligibility

1. To use the platform, you must be at least eighteen (18) years old and legally capable of using the Services.
2. You agree to provide accurate, complete, and up-to-date information, including identity information, contact details, and any health-related information required to provide the relevant Service.
3. You are responsible for maintaining the confidentiality of your account login details. Any activity carried out through your account will be treated as activity carried out by you.
4. Adam may suspend or restrict your account if:
   • you provide inaccurate or misleading information;
   • you misuse the platform;
   • you breach applicable laws or these Terms;
   • fraudulent, unlawful, or suspicious activity is suspected.

Telemedicine Consultations

1. The platform allows users to request remote medical consultations with licensed Healthcare Providers in the Kingdom of Saudi Arabia.
2. A consultation begins only after the booking is confirmed and the case is accepted by the licensed Healthcare Provider.
3. Consultations may take place through the communication channels approved by the platform, including calls, digital platforms, or approved operational communication tools.
4. You acknowledge and agree that consultations and communications related to healthcare services may be recorded, documented, or retained in accordance with applicable legal and regulatory requirements in the Kingdom of Saudi Arabia.
5. Adam's Services are not emergency medical services and must not be relied on in urgent, life-threatening, or emergency medical situations.
6. You must provide accurate and complete health information during consultations. You are responsible for any consequences resulting from withholding or misrepresenting important health information.
7. A Healthcare Provider may refuse, stop, or redirect a consultation if they determine that the case requires an in-person examination, urgent medical intervention, or is not suitable for remote care.

Prescriptions and Medication

1. A Healthcare Provider may issue an electronic prescription where medically appropriate and in accordance with applicable laws and regulations.
2. Adam does not guarantee that a prescription will be issued as part of any consultation. Prescription decisions are subject to the independent medical judgment of the Healthcare Provider.
3. Adam may coordinate medication dispensing or delivery through licensed pharmacies and approved logistics partners.
4. Medication availability, pricing, and delivery timelines are subject to the policies of the relevant pharmacies, service partners, and operational circumstances.
5. You agree to use medications only as directed by the Healthcare Provider and not to misuse, share, or transfer medications to any other person.

Laboratory Services and Health Subscriptions

1. Adam may provide laboratory testing services or recurring health subscriptions that include laboratory tests, biomarkers, and digital health reports.
2. Tests are performed through licensed laboratories or approved home sample collection services, depending on available geographic coverage.
3. Health results, reports, and analytical indicators are provided for health awareness, informational, and guidance purposes and do not replace direct medical assessment.
4. Home visits, sample collection, result timelines, or certain services may be affected by operational or logistical factors outside Adam's control.
5. Subscriptions renew automatically according to the selected package unless cancelled before the renewal date.

Artificial Intelligence Tools and Educational Content

1. The platform may include tools or features that use artificial intelligence technologies to provide information, indicators, operational support, or health-related assistance.
2. Artificial intelligence outputs are not medical diagnoses and do not replace professional medical assessment.
3. Educational content and artificial intelligence tools must not be relied on to make medical decisions without consulting a licensed professional.

Payments and Billing

1. Service and subscription prices are displayed through the platform and include applicable taxes and fees where required by law.
2. Payments are processed through approved payment service providers. Third-party payment or installment options may be made available.
3. You agree to pay all applicable fees for the Services or subscriptions you request.
4. Adam may update prices, packages, or operational benefits from time to time.

Cancellation and Refund Policy

1. Users may request refunds for paid subscriptions or Services in accordance with Adam's approved refund conditions.
2. A refund request may be accepted only if:
   • the request is submitted within fourteen (14) days from the subscription date or most recent payment date; and
   • the relevant Service has not been used or benefited from during the billing period for which the refund is requested.
3. Refund requests and related communications must be submitted through Adam's approved communication channels, including WhatsApp.
4. If Adam is unable to provide a Service due to a technical or operational issue, Adam may reschedule the Service or take the appropriate action based on the circumstances.

Operational Communications and Consents

1. You agree to receive operational communications and notifications related to bookings, appointments, confirmations, reminders, updates, support, and Services through Adam's approved communication channels, including:
   • phone calls;
   • SMS;
   • email;
   • WhatsApp or similar communication applications;
   • notifications or digital communication tools available through the platform or application.
2. These communications are an essential part of operating the Services and managing the user experience through the platform.
3. You may manage marketing communication preferences through the available settings or options provided by the platform.

Privacy and Health Data

1. Adam handles personal and health data in accordance with applicable laws and regulations in the Kingdom of Saudi Arabia and Adam's Privacy Policy.
2. You agree that Adam may process your health and operational data to the extent necessary to provide the Services, operate the platform, and improve the user experience.
3. Adam may share necessary data with:
   • Healthcare Providers;
   • laboratories;
   • pharmacies;
   • operational service providers;
   In each case only to the extent required to deliver the relevant Service.
4. Health Data is sensitive data and is handled in accordance with applicable regulatory requirements.

Acceptable Use

1. You agree to use the platform lawfully and not to:
   • misuse the Services;
   • attempt to disrupt, hack, or interfere with the platform;
   • impersonate another person;
   • use another person's data, prescription, or account;
   • publish, send, or transmit content that violates applicable laws or public morals.
2. Adam may take appropriate action in response to any violation, including account suspension or reporting to the relevant authorities.

Intellectual Property

1. All rights in the platform, including its content, technology, trademarks, designs, and related materials, are owned by or licensed to Adam.
2. You may not copy, reuse, reproduce, exploit, or distribute any part of the platform without Adam's prior written approval.

Limitation of Liability

1. Adam uses reasonable efforts to provide stable, professional, and operationally reliable Services.
2. Adam is not responsible for medical decisions, diagnosis, treatment, or prescriptions issued by licensed Healthcare Providers.
3. Adam is not responsible for:
   • technical failures outside its reasonable control;
   • delays caused by Third Parties;
   • inaccurate or incomplete information provided by the user.
4. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.

Service Suspension and Account Termination

1. Adam may suspend or terminate access to the platform if:
   • you breach these Terms;
   • you misuse the Services;
   • operational, regulatory, legal, or security risks arise.
2. You may stop using the platform or request account closure in accordance with the available procedures.

Force Majeure

Adam will not be responsible for any delay, disruption, or failure resulting from circumstances or events outside its reasonable control, including but not limited to:

• natural disasters;
• wars or security disturbances;
• major telecommunications or technical infrastructure outages;
• failures or interruptions beyond Adam's reasonable control;
• regulatory or governmental decisions or actions;
• failure or disruption of Third-Party services;
• any other circumstances outside Adam's reasonable control.

Governing Law and Dispute Resolution

1. These Terms are governed by the laws and regulations of the Kingdom of Saudi Arabia.
2. Any dispute arising from the use of the platform will first be addressed amicably. If the dispute cannot be resolved amicably, the competent courts in the Kingdom of Saudi Arabia will have jurisdiction.

General Provisions

1. These Terms, together with the Privacy Policy, constitute the entire agreement between the user and Adam regarding use of the platform.
2. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain valid and enforceable.
3. The Arabic language version of these Terms is the governing version for interpretation purposes.
